A transfer is a legal term used in the context of contractual law and property rights. In both cases, attribution is the process by which a person who transfers rights or benefits to the Enzessionar to another, the agent. An assignment shall not transfer obligation, burden or inconvenience without the express consent of the assignee. The law or the benefit assigned can be a gift (for example. B a waiver) or it can be paid with contractual consideration such as money. In general, almost anything useful in a contract can be awarded, unless there is a law or public order that does not permit the assignment. Intellectual property (such as copyright, patents and trademarks) has value and these assets are often allocated. The U.S. Patent and Trademark Office (USPTO) asserts that patents are personal property and that patent rights can be granted.
Brands can also be assigned. The assignment must be registered with the USPTO electronic trademark assignment system (ETAS). The assignment of the contract may be a useful clause that can be included in a commercial contract. The most common cases of contract transfers in a commercial situation are: a transfer clause is applied unless (i) the agreement is refused; (ii) the transfer of substantial changes in contractual rights or obligations or (iii) in violation of law or public order. Unless otherwise agreed, all rights of the seller or purchaser may be transferred, unless the assignment substantially alters the other party`s obligation or significantly increases the burden or danger imposed on the other party`s contract or would significantly jeopardize its chances of recovery. A right to compensation for breach of the entire contract or a right resulting from the proper performance by the assignee of his joint and several obligation may be transferred, despite the agreement, under the other offence. [sic]. If the transfer clause is activated and has a negative impact on business development (reduced returns or increased risk to the business), the courts are less likely to apply the original agreement. Intellectual property, including patents, copyrights and trademarks, may be transferred, but special conditions are linked to the transfer of patents and trademarks. In the United States, the assignment of a patent is governed by law, 35 U.S.C. Patent rights can be transferred by a “written instrument.”
